Welcome to Adams BPO. These Terms and Conditions (“Terms”) govern your access to and use of the website https://www.adams-bpo.com and any services provided by Adams BPO.
By accessing our website, engaging our services, or entering into a service agreement with Adams BPO, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. Definitions
For purposes of these Terms:
- “Adams BPO,” “we,” “us,” or “our” refers to Adams BPO and its authorized representatives.
- “Services” refers to the business process outsourcing services provided by Adams BPO, including customer support, administrative assistance, data management, virtual assistance, operational support, and other customized outsourcing solutions.
- “Client,” “you,” or “your” refers to any individual, company, or organization accessing our website or purchasing or using our Services.
- “Website” refers to https://www.adams-bpo.com and any related pages or digital properties operated by Adams BPO.
- “Service Agreement” refers to any proposal, statement of work, subscription agreement, order form, or other written agreement entered into between Adams BPO and a Client.
2. Acceptance of Terms
By accessing the Website or using our Services, you represent and warrant that:
- You are at least 18 years old.
- You have the legal capacity and authority to enter into a binding agreement.
- If you are acting on behalf of a company or organization, you have authority to bind that organization to these Terms.
- You will comply with all applicable laws and regulations while using our Website and Services.
If you do not agree with these Terms, you should not use our Website or Services.
3. Services Provided
Adams BPO provides business process outsourcing and operational support services that may include:
- Customer Support Services
- Administrative Support
- Data Management
- Virtual Assistance
- Operational Support
- E-commerce Support
- Technical and Platform Support
- Customized Outsourcing Solutions
The specific scope, deliverables, service levels, staffing requirements, pricing, and other conditions applicable to a Client may be defined in a separate proposal, Service Agreement, or statement of work.
If there is a conflict between these Terms and a signed Service Agreement, the terms of the signed Service Agreement will control with respect to that specific engagement.
Adams BPO reserves the right to modify, improve, suspend, or discontinue any general service offering when reasonably necessary. Where such changes materially affect an active Client engagement, Adams BPO will make reasonable efforts to provide appropriate notice.
4. Client Responsibilities
Clients agree to:
- Provide accurate, current, and complete information necessary for Adams BPO to perform the Services.
- Provide timely access to systems, accounts, documentation, procedures, and other resources reasonably required to deliver the Services.
- Maintain the confidentiality and security of account credentials.
- Promptly notify Adams BPO of suspected unauthorized access, security incidents, or misuse of accounts.
- Ensure that all instructions provided to Adams BPO comply with applicable laws and regulations.
- Use the Services only for lawful and legitimate business purposes.
- Refrain from using the Services for fraudulent, deceptive, abusive, illegal, or unauthorized activities.
Adams BPO will not be responsible for delays or performance issues caused by inaccurate information, unavailable systems, missing access, delayed Client responses, or other circumstances reasonably outside Adams BPO’s control.
5. Payment and Billing
Fees
Clients agree to pay all fees associated with the Services in accordance with the pricing, billing schedule, and payment terms specified in the applicable proposal, invoice, subscription, or Service Agreement.
Payment Due Dates
Payments must be made by the due date stated on the applicable invoice or agreement.
Late Payments
If payment is not received when due, Adams BPO reserves the right to:
- Suspend or limit Services;
- Delay the allocation of personnel or resources;
- Charge applicable late fees where permitted by law and specified in the applicable agreement; and/or
- Terminate the Services for continued non-payment.
The Client remains responsible for all outstanding amounts incurred before suspension or termination.
Refunds
Unless otherwise expressly stated in writing, fees paid to Adams BPO are non-refundable once Services have been rendered, personnel have been allocated, or the applicable service period has begun.
Any approved refund or credit will be subject to the terms of the applicable Service Agreement.
Subscription Cancellation
Subscription-based or recurring support Services require at least 30 days’ written notice before cancellation unless a different notice period is specified in the applicable Service Agreement.
Fees and charges incurred during the notice period remain payable.
6. Confidentiality
Both Adams BPO and the Client may receive confidential or proprietary information in connection with the Services.
Each party agrees to:
- Protect confidential information using reasonable security measures;
- Use confidential information only for purposes related to the Services;
- Restrict access to personnel, contractors, and service providers who reasonably need access to such information; and
- Not disclose confidential information to unauthorized third parties without prior authorization, except where disclosure is required by law.
Confidential information does not include information that is publicly available through no breach of confidentiality, independently developed without use of confidential information, or lawfully obtained from another source.
Additional confidentiality obligations may be established through a separate Non-Disclosure Agreement (“NDA”) or Service Agreement.
7. Data Protection and Security
Adams BPO takes reasonable administrative, organizational, and technical measures designed to protect information processed in connection with the Services.
Clients acknowledge, however, that no electronic system, internet transmission, cloud platform, or security measure can guarantee absolute security.
When Adams BPO processes personal information on behalf of a Client, each party is responsible for complying with the data protection and privacy obligations applicable to its respective role.
Additional data-processing requirements may be established through a Data Processing Agreement or other written agreement where necessary.
8. Intellectual Property
Unless otherwise agreed in writing:
- The Adams BPO name, logo, Website, branding, designs, graphics, written content, systems, templates, processes, and other proprietary materials are owned by or licensed to Adams BPO.
- Clients may not reproduce, distribute, modify, publish, sell, reverse engineer, or commercially exploit Adams BPO intellectual property without prior written authorization.
- Clients retain ownership of intellectual property and materials they provide to Adams BPO.
- Nothing in these Terms transfers ownership of either party’s pre-existing intellectual property.
Where custom deliverables are created specifically for a Client, ownership and usage rights may be defined in the applicable Service Agreement.
9. Third-Party Platforms and Services
The Services may require or involve third-party software, applications, communication platforms, e-commerce systems, artificial intelligence tools, payment processors, cloud services, or other external technologies.
Adams BPO is not responsible for:
- Third-party outages or service interruptions;
- Changes made by third-party providers;
- Third-party pricing or subscription changes;
- Security incidents originating solely within a third-party platform outside Adams BPO’s reasonable control; or
- A third-party provider’s terms, policies, or business practices.
Clients remain responsible for complying with the terms applicable to third-party platforms they authorize Adams BPO to access or use on their behalf.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Adams BPO will not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to the Website or Services, including loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.
Adams BPO will not be liable for delays, interruptions, or losses caused by circumstances beyond its reasonable control, Client actions or omissions, or third-party services.
Nothing in these Terms excludes or limits liability where such limitation is prohibited by applicable law.
11. Termination and Suspension
Adams BPO may suspend or terminate Services if:
- The Client materially breaches these Terms or a Service Agreement;
- Required payments remain overdue;
- The Client engages in fraudulent, unlawful, abusive, or unauthorized activity;
- Continued service presents a material security, legal, operational, or reputational risk; or
- Termination is otherwise permitted under the applicable Service Agreement.
Where reasonably practical, Adams BPO will provide notice and an opportunity to address the issue before termination, except where immediate action is necessary for legal, security, fraud-prevention, or safety reasons.
Clients may terminate Services in accordance with the applicable Service Agreement and any required notice period.
Termination does not eliminate responsibility for fees, obligations, or liabilities incurred before the effective termination date.
12. Indemnification
To the extent permitted by applicable law, the Client agrees to indemnify, defend, and hold harmless Adams BPO, its affiliates, officers, employees, representatives, and contractors from claims, damages, losses, liabilities, costs, or expenses arising from:
- The Client’s unlawful or unauthorized use of the Services;
- The Client’s violation of these Terms;
- Materials, instructions, or information provided by the Client;
- The Client’s violation of applicable laws or third-party rights; or
- Third-party claims resulting from the Client’s actions or omissions.
13. Third-Party Links
The Website may contain links to websites, platforms, or services operated by third parties.
These links are provided for convenience and informational purposes only. Adams BPO does not control and is not responsible for the content, availability, security, terms, or privacy practices of third-party websites.
Users should review the applicable terms and privacy policies of any third-party service they choose to use.
14. Force Majeure
Adams BPO will not be responsible for delays, interruptions, or failure to perform obligations caused by events beyond its reasonable control.
Such events may include, but are not limited to:
- Natural disasters;
- Severe weather;
- War, terrorism, civil unrest, or government action;
- Labor disruptions;
- Power, telecommunications, or internet outages;
- Cyberattacks or widespread technology failures;
- Epidemics or public health emergencies;
- Major failures of third-party platforms or infrastructure; and
- Other events that could not reasonably have been prevented or controlled.
Adams BPO will make reasonable efforts to restore affected Services as soon as reasonably practicable.
15. Changes to These Terms
Adams BPO may update these Terms from time to time to reflect changes in its Services, business practices, legal requirements, or operational needs.
The updated version will be posted on the Website with a revised Effective Date.
Continued use of the Website or Services after updated Terms become effective constitutes acceptance of those changes, except where applicable law or an existing Service Agreement requires additional notice or consent.
16. Governing Law
These Terms will be governed by and interpreted in accordance with the laws of Georgia, without regard to conflict-of-law principles.
Any disputes arising from these Terms or the Services will be handled in accordance with the dispute-resolution provisions contained in the applicable Service Agreement or, where no such agreement exists, by the courts having jurisdiction in Georgia.
